Quidio Terms of Use

These Terms of Use (the “Terms”) govern your access to and use of Quidio.
These Terms are a legally binding agreement between you and Quidio Ltd, operating the Quidio service under the Quidio brand (“Quidio”, “we”, “us”, or “our”). The Quidio websites, mobile applications, seller tools, AI-assisted listing tools, seller pages, storefronts, checkout-related features, support services, APIs, and related services are together referred to as the “Service”.
By accessing or using the Service, creating an account, creating or publishing a listing, uploading content, using an AI-assisted feature, connecting a payment account, buying an item, or otherwise interacting with Quidio, you agree to these Terms. If you do not agree, you must not use the Service.
Our Privacy Policy, Cookie Policy, Account Deletion and Data Deletion Policy, and Prohibited & Restricted Items Policy also apply where relevant.
1. About Quidio
Quidio is a UK mobile-first selling tool for people and businesses selling one-off, collectible, second-hand, vintage, antique, or small-batch items. The Service helps sellers photograph items, create and edit AI-assisted listings, publish products to a Quidio-hosted storefront, share direct product links, accept payments through Stripe, and manage orders and payouts.
A person or business that creates, publishes, shares, or sells items using the Service is a “Seller”. A person who views or purchases an item through a Quidio-hosted storefront, product page, checkout flow, or seller link is a “Buyer”.
Quidio is a software and seller-enablement platform. Quidio does not own listed items, take title to them, or act as the buyer or seller in a transaction.
The contract for the sale of an item is between the Seller and the Buyer. The Seller is responsible for the item, listing, price, fulfilment, delivery, customer service, returns, refunds, cancellations, taxes, and legal obligations arising from the sale.
2. Eligibility
The Service is intended only for users aged 18 or older.
By using the Service, you confirm that you are at least 18, have legal capacity to enter into these Terms, and are permitted to use the Service under applicable law.
If you use the Service on behalf of a business or other organisation, you confirm that you have authority to bind it.
3. Accounts and security
You must provide accurate and current account information.
You are responsible for keeping your login details secure and for activity under your account. You must notify us promptly if you believe your account has been compromised.
We may restrict or remove usernames, store names, profile names, or URLs that are misleading, offensive, infringing, unlawful, or impersonate another person or business.
4. Sellers and Stripe Connect
A Seller may be required to connect and maintain an eligible Stripe Connect account before accepting payments or receiving payouts.
Stripe may carry out onboarding, identity verification, fraud checks, risk assessment, payment processing, payout processing, reserves, account restrictions, and related controls. Sellers must comply with Stripe's applicable terms and policies.
Quidio does not collect or store complete payment card details where Stripe handles payment processing. Quidio may receive limited payment-related information needed to operate the Service, such as payment, payout, onboarding, verification, refund, dispute, fraud, and risk status.
Stripe may delay, restrict, reverse, reserve, or refuse payments or payouts. Quidio is not responsible for decisions made by Stripe or another payment provider, except where the law requires otherwise.
5. Seller responsibilities
Sellers are responsible for:

having the right to sell each item;

ensuring listings, images, descriptions, prices, condition statements, provenance, and authenticity claims are accurate;

reviewing and correcting AI-assisted content before publication;

complying with applicable consumer, product-safety, tax, import/export, sanctions, intellectual-property, privacy, advertising, age-restriction, and other laws;

fulfilment, dispatch, delivery, customer service, returns, refunds, cancellations, and complaints; and
-
paying applicable taxes, duties, fees, and charges.
Sellers must not misrepresent an item's identity, authenticity, provenance, ownership, age, condition, rarity, certification, safety, value, or availability.
5.1 Buyer email subscriptions
Quidio may allow Buyers to subscribe to weekly emails about new items listed in a Seller's public storefront.
Quidio Ltd operates this subscription service and acts as the controller of the subscriber personal information processed for it, as further described in the Privacy Policy. Quidio determines the subscription and consent wording, email cadence, sending process, retention, unsubscribe, suppression, complaint, and deliverability controls.
A Seller may enable or disable the subscription feature for their storefront. Sellers do not receive, access, or export subscriber email addresses and must not use subscription information for their own independent marketing.
By enabling the feature, the Seller authorises Quidio to include the Seller's shop name, shop logo, and eligible public listing content in subscription emails. The Seller remains responsible for ensuring that its shop information and listing content are accurate, lawful, and compliant with these Terms and Quidio's policies.
Disabling the feature pauses new subscription captures and email sends but does not automatically delete existing consent records or suppression information.
Quidio may throttle, suspend, or disable subscription captures or email sends where reasonably necessary to comply with law, protect Buyers, address misuse or complaints, maintain security, or protect Quidio's email deliverability and systems.
6. Buyers and purchases
Buyers are responsible for reviewing the listing, price, delivery information, Seller details, and applicable policies before purchasing.
Buyers must provide accurate contact, payment, and delivery information and must not use stolen payment methods, place fraudulent orders, or misuse chargeback processes.
Where a Seller is acting as a business or trader, Buyers may have statutory consumer rights. Nothing in these Terms removes rights that cannot legally be excluded.
7. Orders, delivery, returns, refunds, and disputes
The Seller is responsible for fulfilling orders and communicating with Buyers about delivery, cancellations, returns, refunds, and complaints.
Delivery methods, charges, and estimated times may be set by the Seller or shown through the Service. Quidio does not guarantee delivery or the performance of a delivery provider.
Refunds may be processed through the Service or Stripe where available. Buyers should contact the Seller or Quidio support where assistance is needed.
Chargebacks and payment disputes may be managed through Stripe. Sellers may be responsible for dispute amounts, fees, negative balances, and evidence requests connected with their transactions.
8. Seller fees
Quidio may charge Sellers fees for transactions, paid features, or other use of the Service.
The applicable fees and how they are calculated will be shown to the Seller before they apply or set out in the relevant pricing information or seller terms.
By using a feature or completing a transaction to which a disclosed fee applies, the Seller agrees to pay that fee.
Quidio may change fees prospectively and will provide notice where required by law.
9. AI-assisted features
The Service may use AI to identify items and generate or suggest titles, descriptions, categories, attributes, condition notes, prices, valuations, transcriptions, or other outputs.
AI-generated or AI-assisted outputs may be inaccurate, incomplete, outdated, biased, misleading, or unsuitable. Sellers must review and correct outputs before publishing or relying on them.
AI-assisted outputs are not legal, financial, tax, regulatory, valuation, authentication, product-safety, or compliance advice.
10. User Content
The Service may allow users to create, upload, edit, publish, or share photographs, videos, audio, voice notes, titles, descriptions, prices, item details, messages, feedback, metadata, and other material (“User Content”).
You retain ownership of your User Content. You confirm that you have the rights and permissions needed to provide and use it through the Service.
User Content must not be unlawful, misleading, fraudulent, infringing, abusive, hateful, discriminatory, sexually exploitative, violent, invasive of privacy, or otherwise harmful.
If User Content includes another person's image, voice, name, personal information, property, or other identifiable information, you are responsible for having a lawful basis and any required consent.
11. Licence to use User Content
When you provide User Content through the Service, you grant Quidio a worldwide, non-exclusive, royalty-free, transferable, and sublicensable licence to host, store, copy, process, adapt, display, publish, transmit, and otherwise use it as reasonably necessary to operate, secure, improve, and develop the Service.
Quidio may also derive analytics, classifications, recognition tools, valuations, datasets, models, and other insights from User Content and listing data (“Product Intelligence”).
Quidio may use Product Intelligence to improve AI-assisted listings, product recognition, classification, pricing, valuation, fraud prevention, quality control, analytics, APIs, datasets, and model-based services.
Where reasonably possible, Quidio will use aggregated, anonymised, de-identified, or non-personal information rather than information that directly identifies a user.
12. Prohibited and restricted items
You must comply with the Quidio Prohibited & Restricted Items Policy, which forms part of these Terms.
You must not use the Service to list, sell, promote, share, arrange, or facilitate unlawful, unsafe, counterfeit, stolen, infringing, regulated, recalled, restricted, or prohibited goods or services.
This applies to public storefront listings, private product links, unpublished products, seller pages, AI-assisted listings, images, descriptions, titles, metadata, messages, and other activity through the Service.
13. Moderation and reporting
We may review, restrict, remove, disable, preserve, or refuse listings, content, links, transactions, or accounts where we reasonably believe they may breach these Terms, our policies, applicable law, payment-provider rules, app-store rules, or create legal, safety, operational, reputational, or financial risk.
Users may report listings, content, accounts, or safety concerns to support@quidio.ai or through any reporting feature made available through the Service.
We may act without prior notice where immediate action is reasonably necessary.
14. Prohibited technical use
You must not, without our prior written permission:

scrape, crawl, harvest, extract, mine, or compile data from the Service;

use bots or automated systems to access the Service;

reverse engineer, decompile, disassemble, or modify the Service;

bypass or interfere with security or access controls;

introduce malware or attempt unauthorised access; or
-
use Quidio content, models, data, outputs, or Product Intelligence to build or operate a competing service.
15. Third-party services
The Service may integrate with third-party services, including payment providers, identity providers, delivery providers, AI providers, analytics tools, support tools, and app stores.
Third-party services are governed by their own terms and privacy notices. Quidio does not control their availability, security, performance, or decisions, except where the law requires otherwise.
16. Quidio intellectual property
Quidio and its software, systems, databases, models, interfaces, designs, branding, trade marks, logos, documentation, analytics, and other materials are owned by or licensed to Quidio.
Subject to these Terms, Quidio grants you a limited, personal, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose.
All rights not expressly granted are reserved.
17. Privacy and account deletion
Our processing of personal information is described in our Privacy Policy.
Our use of cookies and similar technologies is described in our Cookie Policy.
Account deletion and related data handling are described in our Account Deletion and Data Deletion Policy.
18. Service availability and changes
We may update, modify, suspend, restrict, withdraw, or discontinue all or part of the Service for maintenance, security, legal compliance, product development, payment-provider requirements, app-store requirements, risk management, or business reasons.
We do not guarantee that the Service will always be available, uninterrupted, secure, error-free, or compatible with every device or browser.
19. Suspension and termination
We may suspend, restrict, or terminate access where we reasonably believe that you have breached these Terms or another applicable policy, acted unlawfully or fraudulently, created unacceptable risk, or where action is required by a payment provider, app store, regulator, court, or authority.
You may stop using the Service at any time and may request account deletion in accordance with our Account Deletion and Data Deletion Policy.
20. Liability that cannot be excluded
Nothing in these Terms excludes or limits any liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any rights or liability that cannot legally be excluded or limited.
Your statutory rights are not affected.
21. Changes to these Terms
We may update these Terms from time to time.
Where changes are material, we may notify you through the Service, by email, through an account notice, or by asking you to accept the updated Terms.
The updated Terms apply from the date stated in the updated version.
22. Governing law and jurisdiction
These Terms and any dispute or claim arising out of or relating to them or the Service are governed by the laws of England and Wales, unless another governing law is required by applicable consumer law.
The courts of England and Wales will have jurisdiction, except where applicable consumer law gives you rights to bring claims elsewhere.
